These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Otesse LLC ("Otesse," "we," "us," or "our"), governing your access to and use of the Otesse website at otesse.com, our field service management platform, mobile applications, and all related services (collectively, the "Services"). Please read these Terms carefully before using our Services.

BY CREATING AN ACCOUNT OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.

1. Eligibility

To use our Services, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater.
  • Have the legal capacity to enter into a binding contract.
  • Not be prohibited from using the Services under applicable law.
  • Not have been previously terminated or banned from the Services.

If you are using the Services on behalf of a business or legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Account Registration

2.1 Account Creation

To access most features of the Services, you must create an account. When creating your account, you agree to:

  • Provide accurate, current, and complete information as requested.
  • Maintain and promptly update your account information to keep it accurate, current, and complete.
  • Maintain the security and confidentiality of your password and account credentials.
  • Notify us immediately at hello@otesse.com if you suspect any unauthorized use of your account.

2.2 Account Responsibility

You are solely responsible for all activity that occurs under your account, whether or not you authorized the activity. Otesse is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

3. Description of Services

Otesse provides a field service management platform that connects customers with professional service providers for home and commercial services, including but not limited to residential cleaning, junk removal, carpet cleaning, and related services. The platform enables customers to:

  • Browse and book available services in their geographic area.
  • Configure service details, schedule appointments, and manage bookings.
  • Pay for services securely through integrated payment processing.
  • Communicate with service providers and support staff.

Otesse acts as a technology platform that facilitates connections between customers and service providers. Otesse does not itself perform cleaning, junk removal, carpet cleaning, or any other field services.

4. Booking and Payment

4.1 Service Booking

When you book a service through the platform, you are entering into a separate service agreement with the assigned service provider. Otesse facilitates this agreement but is not a party to the service contract between you and the provider.

4.2 Pricing

All prices are displayed in U.S. dollars and are exclusive of applicable taxes unless otherwise stated. Prices are determined by the service configuration, selected extras, your geographic zone, and applicable discounts or promotions. The total price, including all fees and taxes, is displayed before you confirm your booking.

4.3 Payment Processing

All payments are processed by Stripe, Inc. By providing your payment information, you authorize Otesse and Stripe to charge your payment method for the agreed-upon amount. Your use of Stripe's services is subject to Stripe's own terms and conditions.

4.4 Cancellation and Refunds

Cancellations and refunds are governed by our Refund & Cancellation Policy, which is incorporated into these Terms by reference.

5. User Responsibilities

As a user of our Services, you agree to:

  • Use the Services only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy.
  • Provide accurate information in all bookings, including the correct service address and honest descriptions of the service needed.
  • Ensure safe and reasonable access to the service location for assigned service providers.
  • Treat service providers with respect and refrain from any form of harassment, discrimination, or abusive behavior.
  • Pay for completed services in accordance with the agreed-upon pricing.

6. Prohibited Conduct

You agree not to engage in any conduct prohibited by our Acceptable Use Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

7.1 Otesse's Intellectual Property

The Services, including all content, features, functionality, software, code, designs, text, graphics, logos, icons, images, and the compilation and arrangement thereof, are owned by Otesse LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 Limited License

Subject to your compliance with these Terms, Otesse grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use (or for your legitimate business use if you are a service provider).

7.3 Restrictions

You may not: (a) copy, modify, distribute, sell, or lease any part of the Services; (b) reverse engineer or attempt to extract the source code of the software; (c) remove, alter, or obscure any proprietary notices; or (d) use the Services in any way not expressly authorized by these Terms.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Otesse does not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the Services will be accurate or reliable; (c) the quality of any services obtained through the platform will meet your expectations; or (d) any errors in the Services will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OTESSE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF OTESSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OTESSE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO OTESSE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Otesse LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or property right; or (d) any claim that your content or activity caused damage to a third party.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of laws principles. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Oregon, and you consent to the personal jurisdiction of such courts.

12. Dispute Resolution — Binding Arbitration

12.1 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and Otesse agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, "Disputes") will be resolved through binding individual arbitration rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies.

12.2 Arbitration Rules

Arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Oregon, USA, or at another mutually agreed location. The arbitrator shall apply Oregon law consistent with the Federal Arbitration Act.

12.3 Class Action Waiver

YOU AND OTESSE AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

12.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to hello@otesse.com within 30 days of first accepting these Terms. Your notice must include your name, address, email address, and a clear statement that you wish to opt out of the arbitration clause.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at hello@otesse.com or through your account settings. Termination does not relieve you of any obligations to pay for services already rendered.

13.2 Termination by Otesse

We may suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to: violation of these Terms, violation of the Acceptable Use Policy, fraudulent activity, extended inactivity, or failure to pay.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on our website and updating the "Last Updated" date. For significant changes, we may also notify you via email. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services and terminate your account.

15. General Provisions

  • Severability — If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver — The failure of Otesse to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Entire Agreement — These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, Refund & Cancellation Policy, and any other policies referenced herein, constitute the entire agreement between you and Otesse regarding the Services.
  • Assignment — You may not assign or transfer these Terms or your rights hereunder without Otesse's prior written consent. Otesse may assign these Terms without restriction.
  • Force Majeure — Otesse shall not be liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet disruptions.
